استحواذ مايكروسوفت على شركة Nuance مقابل 19.7 مليار دولار. استحوذت شركة مايكروسوفت على شركة Nuance للذكاء الصناعي وتكنولوجيا الكلام مقابل صفقةٍ بلغت قيمتها 19.7 مليار دولار. إذ من المقرر أن تدفع مايكروسوفت 56$ مقابل كل سهمٍ من أسهم شركة “Nuance”، بحيث ستتضمن الصفقة صافي ديون “Nuance” أيضًا.

ستعزز عمليه الاستحواذ هذه من إمكانية شركة التكنولوجيا العملاقة “مايكروسوفت” في مجال الخدمات السحابية، والذكاء الصناعي. كما سيمنحها نفوذًا إضافيًا في سوق الرعاية الصحية، وذلك بفضل العديد من المنتجات التي تملكها شركة “Nuance” في هذا المجال.

ففي منشور أعلنت فيه مايكروسوفت عن الصفقة، ذكرت فيه أن الأمر يتعلق بزيادة وجودها في قطاع الرعاية الصحية. فهو المكان الذي حققت فيه شركة “Nuance” أداءً جيدًا في السنوات الأخيرة. من جهتها، أوضحت الرئيسة التنفيذية لشركة مايكروسوفت “ساتيا ناديلا (Satya Nadella)” في تغريدةٍ لها على تويتر أنَّ الذكاء الصناعي له الأولوية القصوى بالنسبة للشركة، إضافةً إلى أهمية منتجات الرعاية الصحية التي باتت أكثر طلبًا وإلحاحًا.

ومن الطبيعي أن تخضع الصفقة لضوابط وأحكامٍ تنظيمية معتادة. ولكن من المتوقع أن تنتهي كلا الشركتين من هذه الإجراءات مع نهاية العام الجاري. إذ سيبقى الرئيس التنفيذي لشركة Nuance “مارك بنجامين” في منصبه. بينما ستتواجد وحدة “Nuance” صمن قسم السحابة الخاص بشركة مايكروسوفت. في حين ليس من الواضح حتى الآن، ما سيحدث لمشاريع “Nuance”. ولكن من المرجح أن يتم طيّها لتكون من بين الخدمات العديدة والمتنوعة التي تقدمها مايكروسوفت.

وتجدر الإشارة إلى امتلاك شركة “Nuance” لمئات منتجات الرعاية الصحية، وروبوتات الدردشة، وتطبيقات معالجات اللغات الطبيعية. إذ تملك الشركة اليوم حوالي 6000 موظف موزع في 27 بلد. وفي أحدث تقرير لها للأرباح خلال الربع المالي الرابع من عام 2020، ذكرت الشركة أن قيمة إيراداتها وصلت إلى 352.9 مليون دولار مقارنة ب 387.6 مليون دولار في نفس الفترة من عام 2019.

وتعتبر صفقة استحواذ مايكروسوفت على شركة “Nuance” ثاني أكبر عملية استحواذ في تاريخ الشركة، وذلك بعد استحواذها على شركة “لينكد إن” عام 2016 مقابل صفقةٍ بلغت قيمتها حينها 26 مليار دولار. ويأتي استحواذ مايكروسوفت على شركة Nuance مقابل 19.7 مليار دولار في الوقت الذي تشهد فيه تكنولوجيا الكلام تطورًا سريعًا وملحوظًا.
